• Fees for our services will be agreed upon in writing before work begins
• Payment terms and schedules will be specified in individual service agreements
• Late payments may be subject to interest charges
• All fees are exclusive of taxes unless otherwise stated

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. This obligation continues even after the termination of services.

Our total liability for any claims arising from our services shall not exceed the amount paid by you for the specific services giving rise to the claim.

You agree to indemnify and hold harmless Talian, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of our services or violation of these Terms of Service.

10. Term and Termination

• Service agreements shall remain in effect for the period specified in the agreement
• Either party may terminate services with written notice as specified in the service agreement
• We may immediately terminate services if you breach these Terms of Service
• Upon termination, you must pay all outstanding fees for services rendered

11. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, war, terrorism, natural disasters, or government actions.

12. Governing Law and Dispute Resolution

These Terms of Service shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from these terms shall be resolved through negotiation. If negotiation fails, disputes shall be submitted to the competent court in Hefei, Anhui Province.

13. Modifications to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting on our website. Your continued use of our services after any changes indicates your acceptance of the modified terms.

14. Severability

If any provision of these Terms of Service is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
